1. Operator and agreement

nafnaf is operated by Sequester AG, Baarerstrasse 10, 6300 Zug, Switzerland ("Sequester", "we", "us"). These Terms govern your access to our marketplace, account, software, APIs and related platform services. "You" means the person or organisation accepting these Terms. A "provider" supplies a listed GPU host; a "renter" books that provider's resources.

You must be at least 18, legally able to contract, and authorised to bind any organisation you represent. You must supply accurate account and billing information and keep it current. A contract under these Terms arises when you accept them in the applicable registration, listing or ordering process; merely publishing an updated version does not establish your acceptance of it.

This version is available for agreements made on or after 12 October 2026. It applies to you only after your express acceptance or another legally valid incorporation into your agreement. It does not retrospectively bind existing accounts or replace the terms of an earlier booking. Publication alone does not create an arbitration agreement or authorise a new charge.

The accepted booking or order specifies the resources, rates, duration and spending limits. Those specific commercial terms prevail over conflicting general descriptions on the website. A separately signed agreement prevails over these Terms to the extent of a conflict. The Privacy Policy explains personal-data processing; it is not a blanket consent to optional processing.

2. GPU rentals: a provider-renter contract

For a GPU rental supplied by an independent provider, Sequester acts as a marketplace intermediary. The contract to supply the GPU, associated storage and network resources is directly between that provider and the renter. Sequester does not purchase and resell those resources, operate the provider's hardware, or become a party to that rental supply contract solely by facilitating it.

The provider is responsible for its resources, the accuracy of its listing, authority to supply them, service delivery and applicable legal obligations. The renter is responsible for its workloads and lawful use. Providers must disclose their legal identity, contact details and applicable rental conditions before a renter contracts with them. A machine name or host number is not a substitute for the contracting provider's legal identity.

The provider authorises Sequester to communicate offers and booking confirmations, coordinate access and metering, and facilitate collection and allocation of payments for its bookings. This limited mandate does not make Sequester the supplier, an insurer, or a guarantor of the provider's performance. It creates no general partnership, employment or agency relationship between users and Sequester.

Each provider and renter incorporates the confirmed rental terms and the applicable use, data-security and payment obligations in these Terms into their direct rental contract when accepting that booking. Provider-specific conditions must be disclosed before booking and cannot override the user's obligations to Sequester or mandatory law. Sequester may assist with disputes but is not obliged to resolve disputes between users or compensate for another user's breach.

This allocation does not exclude Sequester's own expressly undertaken platform obligations or responsibility that the law places on it. Any resource expressly identified as supplied by Sequester is not an independent-provider rental.

3. nafnaf-operated inference

Inference identified as served by nafnaf is a separate service supplied by Sequester, not an independent provider-renter transaction. Sequester may use infrastructure and technical subcontractors to deliver it. Applicable model, token rates, context limits, output limits and other restrictions are shown with the service or order.

Models can produce inaccurate, incomplete, offensive or non-unique output. You must assess outputs for your purpose, verify important results and obtain appropriate human review. Outputs are not professional advice or a guarantee of intellectual-property clearance. Do not use the service as the sole basis for decisions affecting legal rights, health, safety or similarly consequential interests.

You retain your rights in inputs. As between you and Sequester, Sequester claims no ownership in your outputs; any rights you may have remain subject to applicable law, third-party rights and model licences. No exclusivity, copyrightability or fitness for a particular use is promised.

4. Prices, credit and settlement

Review the quote before committing. Unless a quote says otherwise, amounts are in US dollars. Taxes, currency conversion or payment-provider charges may apply as disclosed at purchase or required by law. Rates for an accepted rental remain governed by that booking; changes to a listing or autopilot setting affect future bookings.

For new GPU rentals on the standard fee schedule, providers set their base rates for compute, storage and metered transfer. Sequester charges the renter a platform fee equal to 5% of those provider rates, added on top and included in displayed renter prices. A provider rate of USD 1.00 therefore costs the renter USD 1.05, of which USD 1.00 is allocated to the provider and USD 0.05 to Sequester, before applicable taxes, reversals or adjustments. The provider remains responsible for its operating costs. Existing bookings keep the fee basis and rates accepted at booking. Managed endpoint compute pricing and nafnaf-operated inference token prices use their own published schedules, not this GPU rental fee formula.

Compute, retained storage and measured transfer are separate billable resources where specified in the booking. Storage can remain chargeable while compute is paused or after a compute term ends. Stopping compute does not itself delete files or end all resource charges. Spending caps, available credit, metering rules and retention conditions are those shown for the booking.

You authorise the charges and credit reservations you approve, including usage through your authorised users or credentials. Protect API keys and report suspected compromise promptly. Unused reservations are released under the applicable booking rules. Prepaid service credit is not a bank deposit, does not earn interest, and is not transferable except where we expressly enable this or the law requires it.

Charges for resources properly supplied are non-refundable unless an applicable order, agreed remedy or mandatory law provides otherwise. Nothing here removes a right to a refund for an undelivered service, an incorrect charge or a statutory cancellation. Any refund entitlement for a provider's rental is primarily against that provider; Sequester may administer the adjustment.

Provider settlement is subject to the displayed payout process, identity and compliance checks, successful collection, reversals and substantiated billing disputes. We may temporarily withhold the affected amount or offset established amounts owed to us, where lawful, while resolving fraud, a chargeback or a dispute. Providers remain responsible for their taxes and for any legally required invoices. No level of demand, utilisation, revenue or payout eligibility is guaranteed.

5. Provider responsibilities

You must own or be authorised to supply the hardware, software, connectivity and storage you list. Keep your identity, specifications, rates and availability accurate. We estimate a host's country and region from its public IP address; this is not verification of its physical location. Tell us if that estimate is materially wrong, and disclose the actual processing location when a renter needs it for legal or contractual requirements. Honour accepted bookings, maintain a secure and supported environment, and comply with applicable business, tax, licensing, export-control and data-protection requirements.

Installing the agent authorises the operations needed for the enabled functions, including inspection, benchmarking, resource allocation, workload lifecycle management, metering and applicable updates. Review the setup documentation and configuration before installation. You are responsible for host backups, capacity, access controls and coordination with other workloads or marketplaces.

Access renter data only as needed to deliver the rental, comply with law or resolve an authorised support request. Do not use it for your own purposes, disclose it without authority, or retain it beyond applicable instructions and legal requirements. Put any required data-processing agreement in place with the renter before accepting personal-data workloads. Inform Sequester and affected renters promptly of incidents affecting their services or data.

6. Acceptable use and account security

You are responsible for your account, authorised users, workloads, images, files, prompts, outputs and necessary rights or permissions. Keep independent backups. Confirm that the selected host, jurisdiction and service are suitable for your data and regulatory obligations. Independent host administrators may have technical access to rental systems; containers are not a promise of confidentiality against the host operator.

You must not use nafnaf for unlawful content or activity, infringement, fraud, unauthorised access, malware distribution, denial-of-service attacks, spam, exploitation of children, sanctions evasion, or interference with other users or systems. Do not bypass isolation, quotas, metering, access controls or payment restrictions; impersonate others; falsify measurements; or use the service to attack infrastructure without the owner's express authorisation.

Do not submit data or deploy workloads for which you lack the necessary authority, agreements or safeguards. The services are not designed or warranted for emergency, life-support or other safety-critical operation. We may investigate credible abuse, restrict harmful traffic and disclose information when legally required or reasonably necessary to protect rights and security, subject to data-protection law.

7. Intellectual property and data

Sequester and its licensors retain rights in the platform, branding and software, except as expressly granted in an applicable open-source licence. Subject to these Terms, you receive a limited, non-exclusive right to use the service for its intended purpose while your access is authorised. No other rights are transferred.

You grant Sequester and the relevant service suppliers only the rights in your submitted materials reasonably needed to deliver, secure, support and bill the requested service, and to meet legal obligations. This is not a transfer of ownership or a general licence to publish private workloads. Public listings and information you choose to make public may be displayed and distributed to operate and promote that listing.

You are responsible for determining whether a data-processing agreement or additional safeguards are required for a workload and arranging them before processing. These Terms alone do not replace a legally required data-processing agreement. The Privacy Policy describes Sequester's processing of account and service-related personal data.

8. Availability, warranties and service changes

Except for express commitments in an accepted order and rights that cannot be excluded, services are provided as available without warranties of uninterrupted operation, error-free results, fitness for a particular purpose or recovery of lost data. Hardware checks, security tooling and benchmarks reduce particular risks; they are not certification of a provider or a guarantee against every vulnerability, incident or loss.

Prices, savings examples, speed observations and utilisation estimates are informational, not promises of a particular outcome. External links, models, software and independent providers have their own terms and risks. We may change or discontinue features, with reasonable notice of material adverse changes where practicable and required by law; accepted paid commitments and applicable refund rights remain protected.

Neither party is responsible for delay caused by events reasonably outside its control to the extent permitted by law, provided it takes reasonable mitigation steps. This does not excuse amounts already properly owed or eliminate statutory remedies.

9. Limitations of Sequester's liability

To the maximum extent legally permitted, Sequester is not liable for indirect or consequential loss, lost profit, revenue, opportunity, goodwill, anticipated savings, or loss or corruption of data. In particular, we do not guarantee an independent provider's performance, solvency, identity statements or compliance, or a renter's payment or conduct.

For liability that may lawfully be limited, Sequester's aggregate liability arising from or connected with the services is capped at the greater of CHF 100 and the service fees actually retained by Sequester from you for the affected service during the three months preceding the event giving rise to the claim. For independent GPU rentals, this means Sequester's platform fees, not amounts allocated to providers; for nafnaf-operated inference, it means the inference service charges retained by Sequester.

These exclusions and the cap do not apply to intentional misconduct, gross negligence, fraud, death or personal injury for which liability cannot be limited, or any other liability or consumer remedy that applicable law prohibits us from excluding or limiting. They do not extinguish an obligation to return money legally owed to you. Mandatory duties attaching to Sequester's actual role remain unaffected.

10. Business-user indemnification

If you use nafnaf in a business or professional capacity, you will indemnify Sequester and its officers, employees and service contractors against third-party claims, legally recoverable losses and reasonable defence costs to the extent caused by your breach of these Terms, unlawful use, infringement of another person's rights, or your provision of rental resources. This includes claims concerning your workloads, data, licences, provider operations or taxes for which you are responsible.

The protected party must notify you promptly, allow reasonable participation in the defence and take reasonable steps to mitigate loss. You may not settle a claim in a way that admits fault by, or imposes a non-monetary obligation on, a protected party without its written agreement. We will not unreasonably withhold consent to a settlement that fully releases the protected parties without such obligations.

This indemnity does not apply to the extent a claim results from Sequester's or another protected party's own breach or fault, or where prohibited by law. It does not impose a business indemnity on someone acting as a consumer; mandatory statutory responsibilities remain unchanged.

11. Suspension, termination and surviving obligations

We may restrict access, suspend a listing or terminate an account where reasonably necessary for non-payment, material breach, fraud, security, legal compliance or protection of users and systems. We may act immediately when delay would create a material risk; otherwise we will provide notice and a reasonable opportunity to remedy where practicable. We may also end a continuing platform relationship on reasonable notice, subject to accepted orders and mandatory rights.

You may stop placing orders and request account closure. Ending the platform relationship does not automatically cancel existing provider-renter contracts or erase amounts due. Follow the booking's deletion and retention controls and export data before the applicable retention period expires. We do not promise indefinite storage or restoration of deleted files.

Accrued payment and refund rights, intellectual-property rights, confidentiality and data obligations, lawful liability limitations, indemnities and dispute provisions survive to the extent relevant after termination.

12. Swiss law and arbitration in Zug

Swiss substantive law governs the agreement with Sequester, excluding conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. This choice does not deprive a consumer of mandatory protection available under otherwise applicable law.

Where a valid arbitration agreement is permitted, disputes between you and Sequester concerning these Terms or our services, including their formation, validity, performance or termination, are to be finally determined under the Swiss Rules of International Arbitration administered by the Swiss Arbitration Centre, using the rules effective when proceedings begin. There will be one arbitrator. The seat of arbitration is Zug, Switzerland, and the language is English.

Either party may seek interim or protective measures from a competent court without abandoning arbitration. Mandatory rules governing arbitrability, consumer rights, regulatory complaints and court access remain unaffected. If arbitration cannot validly apply, the competent courts of Zug, Switzerland have jurisdiction only to the extent a lawful choice of forum is possible; mandatory jurisdictions take precedence.

This clause concerns disputes with Sequester. It does not, by itself, impose an arbitration agreement on a separate provider-renter dispute; those parties must expressly agree their own valid dispute arrangements.

13. Changes, interpretation and notices

Material changes will be notified before they apply and require any acceptance mandated by law. They do not retroactively change completed orders, agreed rental rates or an existing dispute. The version accepted for an order applies to that order unless a lawful later agreement provides otherwise.

If a provision is unenforceable, it is severed only to the extent permitted by law; this does not authorise rewriting an unfair term to remove mandatory protections. The remaining provisions continue where legally possible. A failure to enforce a right is not a waiver. You may not transfer the agreement without our consent except where legally permitted. Any transfer by Sequester must preserve mandatory rights and existing obligations.
